By accessing or using chinafactoryguide.com (the “Platform”), you agree to these Terms and Conditions (the “Terms”). If you do not agree, do not use the Platform.

1) What We Provide

China Factory Guide provides subscription-based online access to a digital platform featuring factory directory data and related content (the “Data”), including manufacturer profiles, product categories, images, and contact details. Please note: This is a strictly digital service. No physical goods are shipped or delivered. The Platform provides view-only access. Downloading, exporting, copying, or redistributing the Data is not permitted except where we explicitly allow it in writing.

2) Eligibility

You must be at least 18 years old and able to form a legally binding contract to use the Platform. If you use the Platform on behalf of a business, you confirm you have authority to bind that business to these Terms.

3) Account Registration and Security

• You may need an account to access paid content.

• You must provide accurate information and keep it updated.

• You are responsible for all activity under your account.

• You must keep your login credentials confidential.

• We may suspend or terminate accounts that we believe are compromised or used in violation of these Terms.

4) Subscriptions, Payments, and Billing

• Paid access is provided through subscription packages (“Subscription”).

• Prices, billing frequency, and package features are displayed on the Platform and may change over time.

• Taxes may apply depending on your location and applicable laws.

• Payment Security: All payments are processed securely through PCI-DSS compliant third-party gateways (e.g., Stripe, Mercury). We do not store or process your full credit card information on our servers.

• Unless stated otherwise at checkout, Subscriptions may renew automatically. You can cancel renewal from your account settings or by contacting support before the renewal date.

• If a payment fails, we may suspend access until payment is successfully processed.

5) Refund Policy

Due to the digital nature of the Data, Subscription fees are generally non-refundable once access is granted.

• We do not provide refunds for unused time, partial periods, or changes in your business needs.

• Exceptions: If you experience severe technical issues originating from our Platform that prevent you from accessing the Data, please contact our support team within 7 days of purchase. Refunds in such technical cases will be evaluated on a case-by-case basis at our sole discretion.

• If you believe you were charged in error, please contact support with your order details prior to initiating a dispute with your bank, so we can amicably resolve the issue.

6) Access Model and Usage Limits

To protect the Data and ensure fair use:

• Access is provided for the Subscription period only.

• The Platform may apply usage limits such as device limits, session limits, and rate limits.

• We may use technical measures such as watermarking, monitoring, and anomaly detection.

• We may restrict or suspend access if we detect unusual activity or suspected misuse.

7) Acceptable Use

You agree not to:

• Download, scrape, crawl, harvest, or extract Data using automated tools or scripts.

• Copy, reproduce, distribute, sell, sublicense, publish, or share the Data with third parties.

• Create derivative databases or competing products using the Data.

• Bypass or attempt to bypass access controls, paywalls, watermarking, or security measures.

• Share your account, resell access, or allow unauthorized users to use your Subscription.

• Use the Platform for unlawful purposes or in violation of applicable regulations.

• If you need a special use case (for example, internal team access), contact support for a business arrangement.

8) Data Accuracy and No Guarantee of Outcomes

• We strive to keep information current and useful, and the directories may be updated periodically.

• However, we do not guarantee that any Data is complete, accurate, current, or suitable for your specific purpose.

• Factory listings may change without notice (for example, ownership, location, contact details, product lines, certifications, or operating status).

• You are responsible for verifying suppliers, conducting due diligence, and ensuring compliance with import, export, and legal requirements.

• CFG DIGITAL LLC does not guarantee business results, pricing, quality, availability, delivery timelines, or successful communication with any listed manufacturer.

9) Third-Party Relationships

CFG DIGITAL LLC is not a manufacturer, broker, agent, or representative of the factories listed. Any engagement between you and a third-party manufacturer is solely between you and that third party. We are not responsible for disputes, transactions, payments, quality issues, or losses arising from such relationships.

10) Intellectual Property

• The Platform, its design, software, databases, structure, and content are owned by or licensed to CFG DIGITAL LLC and protected by intellectual property laws.

• You receive a limited, non-exclusive, non-transferable, revocable license to access and view the Data during your Subscription period for your internal business sourcing purposes.

• No ownership rights are transferred to you.

11) User Content

If you submit content to the Platform (such as inquiries, reviews, feedback, or messages):

• You confirm you have the right to submit it.

• You grant us a non-exclusive worldwide license to use it to operate, improve, and market the Platform.

• We may remove content that violates these Terms or applicable laws.

12) Suspension and Termination

We may suspend or terminate your access immediately if:

• You violate these Terms.

• We suspect fraud, abuse, or unauthorized access.

• We are required to do so by law or to protect the Platform or other users.

• Termination may occur without refund where permitted by law.

13) Disclaimer of Warranties

The Platform and Data are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

14) Limitation of Liability

To the maximum extent permitted by law:

• CFG DIGITAL LLC will not be liable for indirect, incidental, special, consequential, or punitive damages.

• We will not be liable for losses arising from supplier interactions, negotiations, purchases, shipments, quality issues, business interruption, lost profits, or data inaccuracies.

• Our total liability for any claim relating to the Platform will not exceed the amount you paid to us for the Subscription in the 3 months preceding the event giving rise to the claim (or the minimum amount allowed by law, if lower).

• Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

15) Privacy

Your use of the Platform is also governed by our Privacy Policy. Please review it to understand how we collect and use information.

16) Changes to These Terms

We may update these Terms from time to time. Updated Terms will be posted on the Platform with a new effective date. Continued use of the Platform after changes means you accept the updated Terms.

17) Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict of law rules. Any dispute arising from these Terms or the Platform will be resolved exclusively in the state or federal courts located in Wyoming, USA, unless applicable law requires otherwise.
